Overview

This Agreement establishes an independent contractor relationship where the Virtual Assistant (VA) provides administrative, technical, or creative assistance to the Client. It is explicitly understood that the VA is not an employee, and is therefore responsible for all self-employment taxes, insurance, and the provision of their own home-office equipment. The scope of work is limited to the tasks defined in the service schedule; any requests falling outside this scope will necessitate a written amendment or a separate statement of work to ensure fair compensation and realistic turnaround times.

To protect the Client's business interests, the VA agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal data accessed during the term of service. Upon full payment of invoices, all work product generated specifically for the Client shall be considered 'work made for hire' and ownership will transfer to the Client. Either party may terminate the agreement with 14 days' written notice, provided that all outstanding fees for hours worked are settled and all digital assets or access credentials are securely returned or revoked.
