Overview

This Agreement establishes the professional framework for TikTok Media Buying services, acknowledging the high-velocity nature of short-form video advertising. The Freelancer shall be responsible for the technical execution of campaigns, including audience targeting, bidding strategies, and technical tracking implementation, while the Client remains the sole owner of the TikTok Business Center and associated creative assets. It is explicitly understood that the Freelancer acts as an advisor and executor; therefore, final approval of all creative content lies with the Client to ensure brand and legal compliance with TikTok’s evolving advertising policies.

To protect the Freelancer, this document includes a limitation of liability clause stating that the Freelancer cannot guarantee specific financial returns (ROAS) due to external variables such as product-market fit, website conversion rate, and TikTok algorithm volatility. Furthermore, the Client agrees to indemnify the Freelancer against any claims arising from the use of copyrighted music or unauthorized third-party content within the video assets provided for promotion. All proprietary campaign structures and data insights generated during the term remain the property of the Client, provided that all management fees have been paid in full.

Ad Account Suspensions

TikTok often flags accounts for minor creative violations, and without a contract, the client may withhold payment for your time spent appealing the ban or setting up a new Business Center.

UGC Usage Rights

Managers often facilitate creator relationships, but if a client uses a Spark Ad video beyond the agreed timeframe, the creator may sue the manager unless the contract places that liability on the client.

Attribution Discrepancies

Due to iOS 14.5 and TikTok's unique tracking gaps, platform data rarely matches internal sales data, creating a risk where clients refuse performance bonuses based on a misunderstanding of view-through conversions.

What is a TikTok Ads Manager contract?

A TikTok Ads Manager contract template is a specialized agreement defining the legal and professional boundaries of paid advertising services on TikTok. It covers Business Center access, pixel ownership, creative licensing responsibilities, and specific attribution models to ensure the manager is paid for strategy while being protected from platform-related account bans.

Built from real freelance projects

This template is based on real-world scenarios across freelance projects where unclear scope, missing payment terms, and revision creep led to lost revenue. It is designed to protect your time, define expectations, and ensure you get paid.

Why TikTok Ads Managers need a clear contract

The TikTok ecosystem moves faster than traditional search or social platforms, creating unique liabilities for managers. Trends can cause sudden spend spikes, and the platform's aggressive automated moderation can shadowban or suspend accounts without warning. A profession-specific contract protects you from being the scapegoat when TikTok's algorithm or policy changes disrupt a campaign. It clearly separates the technical work of media buying: such as pixel installation via Events API and CBO optimization: from the creative work of content production. Without this distinction, clients often expect you to act as a full-scale creative agency, video editor, and community manager for the price of a single freelancer. A written agreement also codifies your access to the TikTok Business Center and sets expectations for attribution windows, ensuring you get credit for conversions that might not show up in a standard Shopify dashboard.

Real-world scenario

A TikTok Ads Manager signs a high-growth beauty brand on a handshake deal for a flat $2,500 monthly fee. Two weeks in, the manager scales a winning Spark Ad that generates $50,000 in revenue. However, the creator of that video realizes their image is being used without an extended usage license and threatens a lawsuit. The client, panicked by the legal threat, blames the manager for not 'vetting' the rights and refuses to pay the monthly invoice. Simultaneously, the client demands the manager jump on six different calls with their web developer to fix a broken Shopify sync that is preventing the TikTok Pixel from firing. Because there was no contract defining the scope of work or liability for creative assets, the manager spends 40 hours in one week on tech support and legal damage control. They eventually lose the client and the payment, having no written recourse to prove that technical web development and legal licensing were outside their management duties.

🛡️ What this contract covers:

  • Phase 1: Audit of existing TikTok Pixel setup, Business Center configuration, and creative asset strategy development.
  • Phase 2: Launch of 'Spark Ads' and 'In-Feed' testing campaigns utilizing three distinct hook variations per creative asset.
  • Phase 3: Ongoing daily budget optimization, scaling of winning ad sets, and delivery of weekly performance reports focusing on ROAS and CPA.

Require all ad captions and video assets to be approved in a shared folder or project management tool before they go live to avoid post-launch disputes.
