Statement of Work

Ref: 2026-001 • Standard Business Template

Scope of Work

The Contractor will perform the following professional TikTok advertising services:

  • Setup, audit, and optimization of the Client’s TikTok Ads Manager account.
  • Installation and verification of the TikTok Pixel and Event API.
  • Development of target audience personas, lookalike cohorts, and custom retargeting lists.
  • Drafting creative briefs and video hook scripts for raw footage production.
  • Continuous campaign monitoring, bid optimization, and budget allocation adjustments.

Upfront Payment

Payment of the management fee is required in full before any services begin. No onboarding calls will be scheduled, strategy briefs drafted, or pixel configurations executed until the Upfront Payment clears through the Contractor’s designated payment link. This ensures the Contractor's dedicated focus and scheduling security.

Client Review and Approval Deadlines

To maintain high-velocity ad delivery, the Client must review and approve all video ad scripts, creative storyboards, and campaign targets within forty-eight (48) hours of submission by the Contractor. If the Client fails to provide feedback or request revisions within this window, the assets will be deemed automatically approved to prevent launch delays.

Delivery Conditions

All finalized campaign setups and creative assets will be delivered exclusively through the TikTok Ads Manager environment. Access to raw video assets, scripts, and target audience data remains conditioned upon complete, cleared payment. The Contractor is not responsible for delay in results caused by the Client's failure to fund their TikTok ad account balance.

Refund Limits

Due to the immediate custom nature of research, scripting, and campaign architecture, all upfront management payments are completely non-refundable once work has commenced. No refunds will be issued for platform-side ad account bans, ad policy violations caused by Client products, or unmet ROAS expectations, as results depend heavily on platform algorithms and market variables.

Termination

Either party may terminate this Agreement by providing seven (7) days written notice. In the event of early termination by the Client, any upfront payments made for the current billing cycle shall be forfeited to cover scheduling blocks and work already initiated. Upon termination, all active campaigns will be handed over to the Client, provided all balances are clear.

Creative Asset Ghosting & Delay

TikTok ads rely heavily on rapid creative assets. Clients often delay sending raw footage or approving ad scripts, stalling the campaign. Your contract must state that delay in asset delivery does not pause or push back your upfront payment terms.

Ad Account Bans & Compliance Suspensions

TikTok's algorithm can flag and suspend ad accounts unpredictably. If the client's ad account is suspended due to compliance issues, your management fees are non-refundable, and your contract must secure payment regardless of platform restrictions.

Chargebacks on Campaign Performance

Disgruntled clients might initiate credit card chargebacks claiming 'services not rendered' if their TikTok campaigns do not immediately yield a high ROAS. Your contract must clearly define ad management as a service of labor, not guaranteed financial returns.

What is a TikTok Ads Manager Upfront Payment Contract?

A TikTok Ads upfront contract secures your management fee before campaigns begin. It specifies that setup, script writing, and pixel configuration only start after payment clears. It locks in creative approval deadlines, protects you from ad account suspensions, and explicitly separates your retainer from the client’s direct ad spend entirely.

Built from real freelance projects

This template is based on real-world scenarios across freelance projects where unclear scope, missing payment terms, and revision creep led to lost revenue. It is designed to protect your time, define expectations, and ensure you get paid.

Why TikTok Ads Managers need a clear upfront payment contract

TikTok ad campaigns move fast, requiring rapid iteration, creative scripting, and constant optimization. If you begin working without securing an upfront payment, you risk investing hours into scripting and audience targeting only for the client to pause the project or ghost you before the campaigns launch. Upfront payments establish a commitment, ensuring your professional expertise is respected from day one. By routing contracts and upfront invoices through a unified payment link workflow, you eliminate the awkward transition from negotiation to billing. This payment-first model protects your cash flow against sudden client budget freezes and sudden shifts in their marketing strategy. It also sets clear boundaries, making it known that campaign strategy, video hook scripting, and pixel implementation do not commence until the transaction is cleared. Securing your fee upfront allows you to focus entirely on driving high-ROAS conversions rather than chasing overdue invoices or payment delays. This is pure protection.

Real-world scenario

A TikTok Ads Manager signed a client for a high-ticket e-commerce product launch. The contract was signed, but the manager delayed sending the invoice, allowing campaign setup to begin. The manager spent forty hours writing viral video hooks, setting up complex retargeting pixels, and configuring Custom Audiences inside TikTok Ads Manager. When the client unexpectedly suffered supply-chain issues, they paused the product launch and refused to pay the ad manager, claiming no ads had actually run yet. Because there was no upfront payment constraint, the manager lost weeks of work and had no legal recourse to recover the lost time. By using MicroFreelanceHub, the manager now sends a single, unified contract and payment link. The client must authorize the upfront setup retainer before any onboarding calls occur, securing the manager’s compensation regardless of inventory delays or sudden shifts in client campaign timelines. This ensures reliable business protection and clean billing.

Best practices for TikTok Ads Managers

Decouple Ad Spend from Management Fees

Always state that your management fee is separate from the TikTok ad spend. Specify that the client's credit card is tied directly to the TikTok Business Center and that you are never liable for platform billing failures.

Establish Passive Creative Approval

TikTok ads require timely creative refreshes to avoid ad fatigue. Implement a '48-hour passive approval' clause so that if a client does not comment on video scripts, they are deemed approved, keeping your workflow on schedule.

Frequently Asked Questions

What happens if the client's TikTok Ad Account gets banned?

The contract states that your management fees are for labor and strategy, not platform status. If TikTok suspends their account due to billing or compliance issues, your upfront payment remains non-refundable, and your active management term continues.

How do I prevent clients from delaying creative asset delivery?

Your upfront contract contains a clause specifying that creative delays on the client’s end do not pause the billing cycle. If assets aren't provided on schedule, you are permitted to optimize existing assets or hold the campaigns active using previously approved creative.
