CRM Setup Consultant Service Agreement

This Service Agreement (the 'Agreement') is entered into by and between the CRM Setup Consultant ('Consultant') and the Client ('Client') as identified in the associated MicroFreelanceHub project workspace.

1. Scope of Services

The Consultant agrees to perform the technical CRM configuration services detailed below:

  • CRM Discovery & Architecture: Mapping customer journeys, pipeline stages, custom property definitions, and user permission matrices.
  • Data Migration: Importing up to [Number] clean CSV records into the new CRM environment (limited to standard contacts, companies, and deals).
  • Integrations: Setup of up to [Number] native integrations (e.g., email client, calendar, forms) and up to [Number] custom Zapier/web-hook automations.
  • Testing & Quality Assurance: Verification of automated triggers, lead routing, and email notification sequences in a sandbox environment.
  • System Training: Up to [Number] hours of live video training for administrative users, including recorded screen-shares.

Any configuration, custom coding, or integration work not explicitly listed above shall be considered out-of-scope and subject to a separate Change Order at an hourly rate of $[Rate]/hour.

2. Client Responsibilities & Asset Delivery

The completion of the Scope of Services is strictly contingent upon the Client's active cooperation. The Client agrees to provide:

  • Administrative login access and API credentials for all relevant CRM and third-party software within [Number] business days of project kickoff.
  • Pre-cleaned, deduplicated legacy data files in CSV format ready for mapping.
  • Prompt responses to feedback requests within [Number] business days.

If the Client fails to deliver required credentials or data within the agreed timeframe, the Consultant reserves the right to pause work and adjust the final delivery schedule. Delays exceeding [Number] calendar days will result in a project reactivation fee of $[Amount].

3. Payment Terms & Protections

The Client agrees to pay the Consultant in accordance with the payment milestones configured on MicroFreelanceHub. Work will progress under the following strict payment controls:

  • Upfront Setup Deposit: A non-refundable deposit of [Percentage]% ($[Amount]) is due immediately upon signing and before any CRM workspace configuration or migration work begins.
  • Milestone Payments: Remaining payments are tied to the completion and digital approval of specific project phases as detailed in Section 4.
  • Late Payments: If any milestone payment remains unpaid for more than [Number] business days past its due date, all services, active automations, and consultant-provided system access will be suspended immediately without liability to the Consultant.

4. Approval Milestones & System Sign-Off

To ensure alignment, the project is structured around formal approval checkpoints. The Client must provide written digital approval or specific, actionable revision feedback via MicroFreelanceHub within [Number] business days of receiving a milestone submission:

  • Milestone 1: Architecture Approval. Approval of the data mapping schema and pipeline structure. Unlocks the CRM configuration phase.
  • Milestone 2: Sandbox Testing Approval. Verification that triggers, custom fields, and email sequences operate correctly in test mode. Unlocks data import and live deployment.
  • Milestone 3: Final Hand-Off. Completion of user training and final transfer of ownership. Mark project as complete.

Failure to provide feedback or sign-off within [Number] business days of a milestone delivery will be deemed an automatic approval, and the corresponding payment milestone will be released.

5. Termination

Either party may terminate this Agreement upon [Number] days' written notice if the other party breaches any material term and fails to cure such breach within that period. Upon termination:

  • The Client shall immediately pay the Consultant for all work completed up to the date of termination, calculated proportionally based on active milestones.
  • All non-refundable deposits shall remain the property of the Consultant.
  • The Consultant will hand over all login credentials and configurations completed up to the paid threshold.

6. Limitation of Liability & Data Warranties

The Consultant provides CRM architecture services on an advisory and technical execution basis. The Client assumes full responsibility for the content, compliance (including GDPR/CCPA), and integrity of all data imported into the CRM. The Consultant is not liable for data loss, system downtime, lead loss, API pricing hikes, or software errors caused by third-party platforms.

In no event shall the Consultant's total aggregate liability under this Agreement exceed the total fees actually paid by the Client to the Consultant for the specific project giving rise to the claim.

The API and Asset Bottle-neck

Clients stall projects for months by failing to provide API keys, custom field definitions, or legacy CSV data, leaving you with half-finished work and delayed final payments.

Undefined Legacy Data Liability

Importing dirty, un-deduplicated, or non-compliant client data that breaks system automations, causing the client to blame your technical setup rather than their faulty data inputs.

The Post-Launch Feature Creep Trap

Clients demanding continuous minor automation adjustments, new custom fields, or extra training sessions under the guise of 'fine-tuning' without paying additional consulting fees.

What is a CRM Setup Consultant Service Agreement?

A CRM Setup Consultant Service Agreement is a legally binding contract that defines the technical scope of database configuration, pipeline architecture, and integration work. It protects consultants by locking in upfront deposits, setting clear deadlines for client-supplied API access, and linking project milestone approvals directly to scheduled payment releases.

Built from real freelance projects

This template is based on real-world scenarios across freelance projects where unclear scope, missing payment terms, and revision creep led to lost revenue. It is designed to protect your time, define expectations, and ensure you get paid.

Why CRM Setup Consultants need a clear service agreement

For CRM Setup Consultants (working on platforms like HubSpot, Salesforce, or ActiveCampaign), projects are highly vulnerable to data delays and invisible scope creep. Clients often underestimate the work required to clean legacy data, map custom fields, or configure third-party integrations. This Service Agreement acts as your operational blueprint and financial shield. It establishes that your technical execution is dependent on timely client asset delivery, defines exactly what constitutes a completed milestone (such as pipeline architecture approval versus lead-scoring deployment), and enforces upfront deposit payments before any API integrations begin. By linking formal sign-offs on data mapping schemas to payment milestones, you prevent the client from stalling final payments over subjective design preferences or post-launch feature requests that fall outside the original project scope.

Real-world scenario

Sarah, a certified HubSpot Setup Consultant, was hired to migrate a sales team of 40 from an outdated spreadsheet system. Instead of using a loose proposal, she used the MicroFreelanceHub CRM Setup Service Agreement, structured with a 40% upfront deposit, a 40% milestone payment upon Sandbox Architecture approval, and a 20% Go-Live payment. Three weeks in, the client stalled on sending their cleaned customer list and ignored requests for API access to their ERP system, which would normally hold up Sarah's payment indefinitely. However, because her agreement included an Asset Delay Clause and Approval-Gated Milestones, she was legally permitted to bill and collect the second milestone payment based on the architecture design alone. When the client realized delays would cost them a reactivation fee, they immediately delivered the assets. Sarah was paid on time, and scope creep was completely avoided.

🛡️ What this service agreement covers:

  • Detailed Scope of CRM Architecture (custom objects, sales pipelines, and integrations)
  • Non-refundable upfront deposit and secure digital payment schedule
  • Client Asset Delivery Deadlines (enforcing timelines for API credentials and CSV databases)
  • Approval-Gated Milestones (Data Mapping sign-off, Sandbox Testing, and Go-Live)
  • Data migration liability limitations (client warranty of clean, compliant data)
  • Post-launch support limits and change order procedures for out-of-scope training

Best practices for CRM Setup Consultants

Phase Your Sign-offs

Require formal approval of the Data Mapping Scheme before starting any actual database migration to avoid rebuilding pipelines later.

Limit System Training Hours

Clearly specify the exact number of screen-share training hours and recorded tutorials included to avoid becoming an on-call IT support desk.

Frequently Asked Questions

What happens if the client's legacy data is corrupted or formatted poorly?

The agreement includes a 'Client Data Warranty' clause stating the client is solely responsible for data accuracy and cleanliness. If you must clean or format their data to perform the import, this is billed separately as a change order at your designated hourly rate.

How does the agreement handle third-party subscription fees for the CRM or API tools?

The template clearly states that all platform licensing fees (e.g., HubSpot, Salesforce, Zapier) are the direct financial responsibility of the client. The consultant will never purchase software subscriptions on the client's behalf.
