Retainer Agreement

Ref: 2026-001 • Standard Business Template

1. Reserved Capacity & Scope

The Consultant agrees to reserve [Number] hours per calendar month (the 'Monthly Capacity') for the Client. This time shall be dedicated to SEO strategy, keyword monitoring, on-page optimization, and monthly reporting. Any work requested outside of these core SEO functions shall be considered 'Out of Scope' and billed at the Overage Rate.

2. Non-Accrual & Rollover Policy

The Monthly Capacity represents the reservation of the Consultant’s professional availability. As such, hours not utilized by the Client within a calendar month do not roll over to subsequent months and are not refundable. A maximum of [Number] hours may be rolled over to the immediately following month only, at the Consultant's sole discretion.

3. Overage Billing

Should the Client request work that exceeds the Monthly Capacity, the Consultant will notify the Client. Additional work will be billed at the 'Overage Rate' of $[Amount] per hour. No overage work will be performed without written (email) authorization from the Client.

4. Minimum Commitment & Cancellation

This Retainer Agreement requires a minimum commitment of [Number] months. Following the initial term, the agreement will renew automatically on a month-to-month basis. Either party may terminate this agreement by providing [Number] days written notice prior to the next billing cycle.

5. Response Times & Availability

The Consultant maintains standard business hours of [Time/Days]. Retainer clients are granted priority status, with a guaranteed response to inquiries within [Number] business hours. This retainer does not include 24/7 technical emergency support unless explicitly stated in an addendum.

6. Exclusions

This retainer specifically excludes the following: full website redesigns, CMS migrations, content creation exceeding [Number] words per month, and manual link-building outreach unless specifically listed in the monthly scope of work.

The Backlog Explosion

If unused hours roll over indefinitely, a client can legally demand a month's worth of work in three days, effectively paralyzing your ability to serve other clients.

The 'Emergency' SEO Trap

Without a defined response window and 'out-of-scope' fee, you'll find yourself fixing technical server errors at 2 AM for no additional compensation.

Algorithmic Scope Creep

A major Google Core Update can double your workload; without a 'Fixed Capacity' clause, you are forced to work double time for the same monthly fee.

What is a SEO Consultant Retainer?

An SEO Consultant Retainer is a recurring service agreement where a client pays a fixed monthly fee to secure a set amount of a consultant's time for ongoing optimization, monitoring, and strategy. It defines the limits of work, prevents the banking of unused hours, and sets rules for overages.

Built from real freelance projects

This template is based on real-world scenarios across freelance projects where unclear scope, missing payment terms, and revision creep led to lost revenue. It is designed to protect your time, define expectations, and ensure you get paid.

Why SEO Consultants need a clear retainer

SEO is an ongoing process of adjustment and monitoring, but without a formal retainer agreement, the 'ongoing' nature of the work often leads to massive scope creep. As an SEO Consultant, your most valuable asset is your reserved capacity. This document ensures that you are paid for your availability and expertise, not just for a checklist of tasks. It establishes the boundaries of the relationship—defining exactly how many hours are reserved, what happens when a Google update requires extra work, and how much notice is required to end the partnership. Without it, you risk 'Accrued Labor Debt,' where a client pays for months of inactivity and then expects a full site migration over a weekend because they 'already paid for those hours.' This document protects your schedule, your sanity, and your monthly recurring revenue.

Real-world scenario

Marcus, a senior SEO consultant, had a client paying for a 20-hour monthly retainer. For two months, the client provided no feedback and required only 5 hours of work. In month three, the client’s site was hit by a manual penalty. They demanded Marcus work 60 hours that week to fix it, claiming they had 'credits' from previous months. Because Marcus used a professional Retainer Template, he pointed to the 'Non-Accrual of Unused Hours' clause. He explained that his time is reserved per month, not banked like a savings account. He billed the additional 40 hours at his 'Priority Overage Rate' of $250/hour. Marcus earned an extra $10,000 that month instead of working for free, and the client understood the value of his immediate availability.

Frequently Asked Questions

Should I allow any hours to roll over at all?

It is best practice to allow a 'grace' rollover of no more than 10-20% of the monthly hours, expiring strictly within 30 days, to maintain client goodwill without risking your schedule.

How do I handle a client who exceeds their hours every month?

Your retainer should include a 'Scale-Up' clause that triggers a mandatory meeting to move the client to a higher-tier monthly package if they exceed hours for two consecutive months.
