Deposit Amount
The Client shall pay a non-refundable deposit of fifty percent (50%) of the total project fee before any listing optimization work, competitor analysis, or keyword research begins. This deposit secures the Optimizer's calendar and covers initial competitive analysis overhead.
Payment Timing
The remaining fifty percent (50%) of the project fee shall be split into two milestone payments:
- Milestone 1: Thirty percent (30%) due immediately upon the delivery of the initial listing draft (Title, Bullet Points, and Backend Search Terms) for review.
- Milestone 2: Twenty percent (20%) due immediately prior to the delivery of the final copy deck, flat files, or A+ Content copy briefs.
Refund Rules
All deposits paid under this Agreement are strictly non-refundable. Because Amazon listing optimization requires immediate allocation of specialized research tools and labor, the deposit represents earned income for mobilization. If the Client decides to cancel the project for any reason, including product launch cancellations or inventory delays, the deposit is forfeited to cover the Optimizer’s scheduled time.
Client Responsibilities
The Client is solely responsible for providing active product samples, specifications, image files, competitor ASINs, and access to Seller Central (if required) within five (5) business days of signing this Agreement. Delays in providing these materials will pause all project timelines. If materials are delayed by more than ten (10) business days, a restart fee of fifteen percent (15%) of the total project value will be charged to resume work.
Approval Milestones
The Client shall have three (3) business days to review listing drafts and submit requested revisions. If no revisions are requested within this period, the milestone is deemed approved, and the corresponding milestone payment becomes due. Revisions must comply with Amazon’s official Terms of Service and Listing Guidelines.
Final Payment
Final delivery of the fully optimized listing copy, backend keywords, and flat files will only occur once the final payment link is successfully processed. Under no circumstances shall the Client upload or use any draft copy, layout designs, or keyword sets prior to making the final payment. Intellectual property rights for the listing assets transfer to the Client exclusively upon receipt of full payment.
Cancellation
Either party may terminate this Agreement with forty-eight (48) hours' written notice. If the Client terminates the contract before final delivery, they forfeit the initial deposit and must pay the Optimizer for all completed milestones and hourly research work completed up to the point of cancellation.
