Project Milestones
The AI Agent Builder project is structured as a series of sequential milestones. Work on each milestone is initiated only upon receipt of the deposit for that phase, ensuring the Developer is paid continuously as development progresses.
Deliverables by Phase
This agreement outlines the precise deliverables required for each phase of the AI Agent build:
- Milestone 1 (Architecture & Prompt Design): System design map, vector database schema, tool definition list, and core system instructions.
- Milestone 2 (Staging Prototype & API Integration): Deployment of the agent to a secure staging environment, successful connection to external APIs, and integration of the vector database.
- Milestone 3 (UAT & Final Deployment): User acceptance testing, performance logging, handoff of system prompts, and deployment to the client's production environment.
Approval Criteria
Each milestone requires explicit approval. The Client has three business days from delivery of a milestone in the staging environment to test and submit written feedback. Deliverables will be evaluated strictly against the agreed-upon technical specifications. Minor agent hallucinations or LLM-native limitations do not constitute grounds for rejection. If no feedback is received within three business days, the milestone is deemed approved, and the associated payment link will be processed.
Payment Schedule
Payments are tied directly to milestone progression. The Client agrees to the following payment schedule via MicroFreelanceHub secure payment links:
- Milestone 1 Initiation: 35% upfront deposit required to start the project.
- Milestone 2 Initiation: 45% payment due upon approval of Milestone 1, before any coding or API development begins.
- Milestone 3 Initiation: 20% final payment due upon approval of Milestone 2, prior to production deployment and handoff.
Late Payment
In the event that a milestone payment is delayed beyond forty-eight hours of approval, all development work, hosting of staging environments, and API access will be paused immediately. Work will resume only when the outstanding payment link is cleared. The Developer is not responsible for any project delays resulting from late client payments.
Change Requests
Any requests for additional functionality, changes to model architecture, or new API integrations not explicitly listed in the Deliverables will be treated as out-of-scope. These changes will require a separate Change Request, billed at the Developer's hourly rate of $150/hour, and must be paid in full before the new features are developed.
Final Delivery
Transfer of intellectual property, production deployment, and handoff of prompt scripts, codebases, or admin access to the live AI agent will only occur after the final milestone payment has been fully processed and confirmed. Staging access will be revoked if the final payment is not made within five business days of system approval.
API & Token Cost Inflation
AI agents rely on external APIs and LLM calls. If a client demands endless testing or changes the underlying model requirements mid-project, your development and testing token costs can skyrocket, eating directly into your margins without protection.
Prompt Drift & Infinite Revision Loops
Clients often expect 100% accuracy from AI agents, which is statistically impossible. Without specific milestone gates defining acceptable error rates, clients may refuse final payment over natural prompt variance or minor hallucinations.
Unauthorized Staging Deployment
Clients may attempt to hook your AI agent draft into their live databases or customer-facing channels before you are fully paid, exposing you to liability and losing your leverage for the final payment.
What is a AI Agent Builder Milestone Payment Agreement?
Protect your AI agent development business with a Milestone Payment Agreement. This contract structure divides your project into paid, sequential stages. It prevents scope creep by requiring explicit approval and payment for completed deliverables (like prompt architecture or API integrations) before you proceed to the next phase of development.
Built from real freelance projects
This template is based on real-world scenarios across freelance projects where unclear scope, missing payment terms, and revision creep led to lost revenue. It is designed to protect your time, define expectations, and ensure you get paid.
Why AI Agent Builders need a clear milestone payment agreement
AI agent development is highly iterative and prone to extreme scope creep. Clients often do not understand that a slight change in prompt architecture, vector database selection, or LLM routing can completely break a system or exponentially increase latency and API token costs. Without a structured milestone payment agreement, you risk getting trapped in an infinite loop of 'tweaking' and 'fine-tuning' without compensation. This template ensures that each phase of the build—from schema design and API integration to system testing and final deployment—is treated as a discrete project with its own upfront deposit, formal client sign-off, and milestone payment. By securing approval and payment before moving to the next stage, you eliminate the risk of unpaid work, control your API costs, and establish a professional workflow where clients understand that revisions and additions outside the initial scope require a formal change order.
Real-world scenario
Imagine you are building a customer support AI agent integrated with Shopify and Zendesk. You complete the prompt engineering and API setup on time. However, the client suddenly decides they want the agent to handle real-time inventory adjustments and draft personalized email follow-ups through a separate SMTP server. Under a generic contract, the client might halt your final payment, claiming the agent 'is not complete' until these new integrations work flawlessly. With our AI Agent Builder Milestone Agreement, you are protected. The initial integrations represent Milestone 2, which has already been approved and paid. The new inventory and email requests are flagged as out-of-scope. Work on Milestone 3 pauses, and you issue a formal Change Request. The client must pay an additional fee for the new features before you write a single line of code, ensuring you are compensated for every hour of development.
🛡️ What this milestone payment agreement covers:
- ✓System architecture map and LLM routing workflow diagram
- ✓Vector database setup, knowledge base indexing, and schema validation
- ✓Core prompt engineering, system instructions, and agentic tool integrations
- ✓Staging environment functional prototype with latency and token-cost reporting
- ✓Final production deployment, handoff documentation, and user acceptance testing
Best practices for AI Agent Builders
Define 'Acceptable Accuracy' Metrics Upfront
Spell out exactly what defines a successful test run (e.g., 'Agent correctly retrieves knowledge base documents 90% of the time during structured UAT scenarios'). This prevents clients from withholding payment due to minor, inherent LLM limitations.
Deliver Through Your Own Sandbox
Always host and run the agent in your own sandbox environment during the feedback stages. Do not export the system prompt or transfer API keys to the client's infrastructure until the milestone payment clears.
