This Podcast Editor Service Agreement (the "Agreement") is entered into by and between the service provider (the "Editor") and the client (the "Client") as identified in the accompanying proposal, invoice, or project statement.
1. Scope of Services
The Editor agrees to perform professional audio post-production services as specified in the agreed project invoice or proposal. Standard services may include audio editing (removal of mistakes, filler words, and long pauses), noise reduction, equalization, vocal leveling, integration of intro/outro music, and ID3 metadata tagging.
Unless explicitly stated in writing, the following services are excluded from the scope of work and will incur additional fees: audiogram creation, transcriptions, show notes writing, guest management, and uploading/distribution to podcast hosting platforms.
2. Client Responsibilities & Asset Submission
The Client is solely responsible for providing high-quality raw audio files, metadata, and show assets. Raw audio files must be submitted to the Editor at least seventy-two (72) hours prior to the scheduled episode publication time (the "Submission Window").
- Late Submissions: Files delivered outside of the Submission Window are subject to a late fee or may have their publication date rescheduled at the Editor's sole discretion.
- Audio Quality Disclaimer: The Editor will use industry-standard tools to optimize sound; however, the Editor is not responsible for repairing audio issues resulting from poor microphone quality, improper recording environments, or low-resolution raw files.
3. Payment Terms & Revision Limits
The Client agrees to pay the fees set forth in the project invoice. Payment must be made in full prior to the delivery of the final master audio file, or on a recurring retainer schedule as pre-negotiated.
- Late Payments: Outstanding balances not paid by the due date will accrue interest at a rate of 1.5% per month or the maximum rate allowed by law.
- Revision Limits: The Editor includes up to two (2) rounds of minor revisions per episode. Revisions must be requested within five (5) business days of draft delivery. Any revisions requested after this period, or exceeding the limit, will be billed at the Editor's standard hourly rate.
- Session Files: The final master MP3/WAV file is the sole deliverable. Raw DAW session files (e.g., Pro Tools, Audition, Reaper project files) remain the intellectual property of the Editor and are not included unless a separate asset buyout fee is paid.
4. Term & Termination
This Agreement shall commence on the date of signature or online acceptance and will continue until completed or terminated by either party.
Either party may terminate this Agreement by providing fourteen (14) days written notice to the other party. In the event of termination, the Client shall pay the Editor for all completed work and a pro-rated amount for any work-in-progress up to the effective termination date (the "Kill Fee").
5. Limitation of Liability
The Editor’s liability for any claim, loss, damage, or expense arising out of this Agreement, whether in contract, tort, or otherwise, shall be strictly limited to the total fees paid by the Client to the Editor for the specific episode(s) giving rise to the claim.
