2. Payment Checkpoints & Deposit Structure
Production is subject to the following non-negotiable payment milestone controls:

3. Client Approval Gates
To ensure steady momentum and prevent post-production conflicts, the project will proceed through formal "Approval Gates":
Once the Client approves a phase (such as a script or a slide deck), that deliverable is deemed locked. Any subsequent changes requested by the Client to previously approved materials will be treated as out-of-scope work and will incur additional production fees at the Producer's standard hourly rate of [Hourly Rate] or a flat rate per modified module.
4. Revision Limits
Unless otherwise stated in the project scope, the Producer provides up to two (2) rounds of revisions per module draft. Revisions must be requested within seven (7) business days of draft delivery. Revisions are limited to technical corrections (e.g., audio level adjustments, minor video cuts, slide spelling corrections) and do not include re-recording content based on script changes post-approval.
5. Usage Rights & Intellectual Property
All intellectual property, raw video files, graphics, and course content created under this Agreement remain the sole property of the Producer until all outstanding invoices and final milestone payments have been cleared in full. Upon receipt of final payment, the Producer grants the Client an exclusive, perpetual, worldwide license to distribute, host, sell, and market the completed course deliverables.
6. Final Delivery & LMS Handoff
During the production phase, draft videos will be hosted on a password-protected, watermarked review platform. Delivery of unwatermarked, high-resolution source files, SCORM packages, or the direct upload of video content to the Client’s LMS platform (such as Kajabi, Teachable, or Thinkific) is strictly conditioned on the receipt and clearance of the final milestone payment.
